Wyoming LLC filing: fees, forms, and deadlines from the state's own schedule

That distinction is the whole reason this page is worth reading, because the numbers the rest of the internet repeats about Wyoming are wrong often enough to cost you.

A Wyoming number several websites agree on can be several copies of one mistake.

Three quick examples of the problem, all corrected here. The homestead exemption is widely published as $20,000; it has been $100,000 since 2023. Wyoming is described almost everywhere as having no expedited filing; the official schedule lists it. And the reinstatement fee gets quoted from the wrong row of the fee table, mixing up entity types. Every figure below was read from the state’s own source.

Naming the company

A Wyoming LLC’s name must include “Limited Liability Company” or an accepted abbreviation, such as “LLC” or “L.L.C.” The name has to be distinguishable from other entities on the Secretary of State’s record, which you can check through the state’s WyoBiz portal before filing.

A Wyoming LLC name must carry an LLC designator and stand apart from every other name on the state’s record.

You can hold a trade name for later use through a reservation, which the fee schedule lists at $30. If you will operate under a name other than the LLC’s legal name, that is a trade name registration, at $100, renewable for $50.

Forming the LLC

Formation is a single filing, the Articles of Organization, with the Secretary of State.

A Wyoming LLC costs $100 to form, and filed online it is registered the same day.

The filing fee is $100. Filed online through WyoBiz, the LLC is formed effectively immediately; filed by mail, processing runs roughly fifteen business days. Online payment adds a small card-processing convenience fee set by the payment processor, not the state. Wyoming does not require member or manager names in the articles, which is the source of the privacy discussed on the structure and cost page.

The registered agent

Every Wyoming LLC must appoint and maintain a registered agent with a physical address in Wyoming.

A Wyoming LLC must keep a registered agent with a real Wyoming street address, not a mailbox.

The agent has to be available at a Wyoming street address during business hours to accept service of process, so a post office box or a mail-forwarding service does not qualify. You can serve as your own agent if you have a Wyoming address, or hire a commercial agent, whose service fee is separate from any state charge.

The annual report and license tax

Wyoming has no separate franchise tax. The one recurring state charge is the annual report, filed with a license tax.

Wyoming’s annual report is due the first day of your anniversary month, and for most LLCs the tax is $60.

The license tax is the greater of $60 or two-tenths of one mill, $0.0002, per dollar of assets located and employed in Wyoming. The $60 minimum covers any LLC with $300,000 or less in Wyoming assets, which is most of them; above that, the tax is the asset figure times $0.0002. An LLC with $1,210,000 in Wyoming assets, for example, owes $242. The report is due the first day of the month in which the LLC was formed, every year. Filing online adds a small convenience fee.

Falling behind, and getting back

Miss the annual report or lose your registered agent and the state can administratively dissolve the company. Reinstatement is possible, and the fee depends on why you fell off.

Reinstatement for unpaid tax is $100. Reinstatement after losing your registered agent is $350, and that $350 figure is the LLC-specific row. Several sites quote $200 or $250, which are the rows for statutory trusts and profit corporations, not LLCs. This is the exact trap the sourcing discipline on this page exists to catch.

Registering a company from another state

An LLC formed elsewhere that does business in Wyoming registers as a foreign LLC by filing an Application for Certificate of Authority.

A Wyoming Certificate of Authority costs $150 and needs a good-standing certificate less than 60 days old.

The fee is $150, and the application must include an original certificate of good standing from the home state dated within sixty days. A company that transacts business in Wyoming without registering is exposed to back taxes and penalties. Once registered, a foreign LLC files the same annual report and license tax as a domestic one.

Moving, converting, and closing

Wyoming handles conversion, continuance, and domestication on the same $100 line as formation, so bringing a company into Wyoming as the same legal entity costs $100. Dissolving the LLC, amending the articles, or most other filings are $60 each. If the company runs a series, each series designated or established costs $10.

Two figures worth having on hand. A Certificate of Good Standing is free online through WyoBiz, or $20 for a paper certificate. And Wyoming does offer expedited service, contrary to what most guides claim: $700 for next business day and $1,400 for same business day. Those are steep and rarely needed, since online formation is already immediate, but the option exists.
