Illinois LLC filing: the fees are in the statute, not on a vendor page

Illinois puts its LLC fees in the Act itself, so they can be read rather than guessed. Formation is $150, the annual report is $75, and every series you designate adds $50 a year for as long as it exists.

Illinois does something unusual with its LLC fees: it puts them in the statute. Article 50 of the Limited Liability Company Act lists them line by line, which means the numbers on this page come from the law itself rather than from a filing service’s marketing page.

Naming the company

An Illinois LLC’s name must include an LLC designator and be distinguishable from other names on the Secretary of State’s record. If you want to operate under a different name, Illinois charges for an assumed name on an unusual sliding scale tied to the five-year renewal cycle: $150 for a year ending in 0 or 5, dropping through $120, $90, and $60 to $30 for a year ending in 4 or 9, with renewals at $150. Changing an assumed name costs $25.

Forming the LLC

Formation is the Articles of Organization, filed with the Secretary of State.

Articles of organization cost $150, or $400 if the LLC has a series or the ability to establish one.

The base fee is $150 for articles of organization, an application for admission by a foreign LLC, or restated articles. If the company has a series, or merely the ability to establish one under Section 37-40, the same filings cost $400. That difference is the entry price of the series structure, and the structure and cost page works through whether it is worth paying.

The registered agent

Every Illinois LLC must maintain a registered agent and registered office in Illinois. Changing either, or filing a statement of correction, costs $25.

The annual report

Illinois has one recurring filing, and its cost depends on how many series you have created.

The annual report is $75, plus $50 for every series with a certificate of designation in effect.

The per-series charge applies to each series for which a certificate of designation has been filed and is in effect on the last day of the third month preceding the company’s anniversary month. A delinquent report carries a penalty. So an ordinary Illinois LLC pays $75 a year and a ten-series LLC pays $575, which is the arithmetic that makes the Illinois series structure honestly comparable to separate companies.

Falling behind, and other filings

Reinstatement after administrative dissolution costs $200. Articles of merger cost $100 plus $50 for each party beyond the first two.
