Iowa LLC filing: $50 to form, a report only every two years, and no template to help you do it
Iowa is among the cheapest states to form and keep an LLC: $50 to file and a $30 report due only every two years, not every year. The catches are that Iowa gives you no fill-in formation template, so the certificate is where owners get rejected, and the every-two-years report cadence is easy to forget.
Every figure on this page comes from the Iowa Secretary of State and the Department of Revenue, not an aggregator. Iowa is among the least expensive states to form and keep an LLC: $50 to file the Certificate of Organization and a $30 report due only every two years, not annually. Together with the protected series LLC on the structure and cost page, that makes Iowa one of the cheaper places to run a multi-property structure. Two things trip up Iowa owners, and both come from how little the state hands you: there is no formation template, and the report cadence is every two years, which is easy to lose track of.
Forming the company
Formation is cheap, but Iowa makes you draft the document yourself.
Iowa forms an LLC on a Certificate of Organization filed with the Secretary of State for $50, but there is no fill-in template.
You create an Iowa LLC by filing the Certificate of Organization with the Secretary of State through the Fast Track Filing portal for a $50 fee, among the lowest formation fees in the country, with no publication requirement. The wrinkle is that Iowa does not publish a fill-in-the-blank form; under the statute you draft your own certificate that includes the required elements, and the most common reason a filing is rejected is a missing registered agent street address. The Fast Track portal walks through the required fields, which is the easiest way to avoid the rejection, but the point stands that Iowa expects you to produce a compliant document rather than complete a template.
The report that comes every two years
Iowa’s recurring obligation is cheap and unusual in its timing.
Iowa requires a $30 report every two years, due by April 1 of odd-numbered years, not annually.
Every Iowa LLC files a biennial report with the Secretary of State, $30, due by April 1 of each odd-numbered year. The biennial cadence cuts the ongoing paperwork roughly in half compared with an annual-report state, which is part of why Iowa is so cheap to maintain. But the two-year rhythm is its own trap. Some owners treat it as annual and overfile, confusing the state’s records; more often, an owner simply loses track, because a deadline that comes only every other year is easy to forget. Missing it leads to administrative dissolution, which ends the good standing the liability shield on the protection page depends on, and reinstatement then requires filing the delinquent reports plus a fee. The fix is simple: put the odd-year April 1 date on a calendar that will survive two years.
Multiple entities and the series advantage
Iowa’s low, biennial cost changes the multi-property math.
Because Iowa’s report is cheap and biennial, and Iowa offers a protected series, holding several properties here is unusually inexpensive.
In most states, each additional LLC means another annual report and fee, so a multi-property investor pays for the structure every year. Iowa’s report is not only cheap but biennial, so the recurring cost of each entity is roughly $15 a year, and Iowa also offers the protected series described on the structure and cost page, so an investor can hold several properties in one series LLC rather than forming many. Between the low flat income tax, the biennial report, and the series option, Iowa is one of the least expensive states in the country to run a real estate holding structure, with the main discipline being the odd-year report date for each entity.
The bottom line
An Iowa LLC forms on a Certificate of Organization filed through Fast Track Filing for $50, among the lowest fees in the country.
Iowa gives no fill-in formation template, so you draft your own certificate, and a missing registered agent street address is the common rejection.
The recurring report is $30 and due only every two years, by April 1 of odd-numbered years, which halves the paperwork but is easy to forget.
Missing the biennial report leads to administrative dissolution and a weakened shield, so the odd-year April 1 date belongs on a durable calendar.
Between the biennial report and the protected series, Iowa is one of the cheapest states to run a multi-property holding structure.
What this page does not cover
This page is about fees, forms, and deadlines. How creditors reach a member’s interest, the unlimited homestead, and the ordinary charging order are on the protection page. The duties the operating agreement cannot waive, and Iowa’s do-it-yourself formation, are on the governance page. Iowa’s flat 3.8% income tax, the protected series LLC, and the low transfer tax are on the structure and cost page.
