In healthcare the first structuring question is not what a creditor can reach; it is whether you are even allowed to own the business at all.

Every other structuring question on this site starts with liability: what a creditor can reach. Healthcare starts one step earlier, with a question most industries never face. Are you even allowed to own the business. Many states bar anyone without a license from owning a medical, dental, or veterinary practice outright. A general business lawyer will happily set up an LLC the state considers void on its face, and nobody notices until a licensing board or a payer audit does.

That is the seam this branch is built on. The corporate lawyer handles the entity. The healthcare lawyer handles the license. Neither owns the place where they meet, and that place decides everything: the split between the practice that holds the license and the company that holds the money, the staff, the lease, and the brand. Get it right and you have a compliant business you can actually sell. Get it wrong and you have a fee-splitting violation, a contract a court will not enforce, or a practice no buyer can legally take.

Two paths below. The core is the doctrine every healthcare operator needs first: who is allowed to own, how the management-company structure works, and the lines that do not bend. The niches take that core and run it through the specific traps of one field, because a dental practice, an ABA clinic, and a hospice do not break in the same place.
